Public Offer (Sale and Purchase Agreement)
This agreement is an official public offer (offer) by Hedonist (hereinafter referred to as the "Seller") to conclude a sale and purchase agreement for goods presented on the website https://www.hedonist.com.ua. In accordance with Article 633 of the Civil Code of Ukraine, this agreement is public — meaning its terms are the same for all buyers regardless of their status (individual, legal entity, or sole proprietor). By clicking the "Confirm Order" button on the checkout page, the Buyer confirms that they have read the terms of this Offer and accept them in full. After placing an order and receiving confirmation from the Seller, the Agreement is considered concluded.
1. Definitions
Public Offer (Offer) — the Seller's proposal to conclude a distance sale and purchase agreement for goods on the terms defined in this document.
Goods — any product or service presented on the Seller's website that the Buyer can purchase through an online order.
Online Store — the Seller's website https://www.hedonist.com.ua, intended for retail sales.
Buyer — a legally capable individual, legal entity, or sole proprietor who has accepted the terms of this Offer and placed an order.
2. Subject of the Agreement
The Seller undertakes to transfer ownership of the goods to the Buyer, and the Buyer undertakes to accept and pay for them in accordance with the terms of this agreement. The agreement is considered concluded from the moment of order confirmation on the website or via electronic message from the Seller.
3. Order Placement
The Buyer places an order independently through the website or by contacting the Seller's representatives via email or phone. To fulfill the order, the Buyer must provide accurate information: surname, first name, contact phone number, delivery address, and for legal entities — the EDRPOU code. The Seller has the right to refuse to fulfill the order if the data is incomplete or raises doubts. The Buyer is responsible for the accuracy of the provided data.
4. Price and Delivery of Goods
Prices for goods are determined by the Seller and are indicated on the website in Hryvnia. Delivery costs are not included in the price of the goods and are paid by the Buyer according to the delivery service tariffs. Payment for goods is made by any method specified on the website in the "Payment and Delivery" section. The goods are transferred to the Buyer after full payment or under cash-on-delivery terms. Upon receipt of the goods, the Buyer must check their integrity and completeness. Ownership transfers to the Buyer at the moment of actual receipt of the goods.
5. Rights and Obligations of the Parties
The Seller undertakes to transfer quality goods in accordance with the terms of the order, not to disclose the Buyer's personal data, and to ensure their protection. The Seller has the right to change the terms of this agreement and prices for goods by publishing updates on the website. The Buyer undertakes to familiarize themselves with the terms of the agreement before placing an order and to provide accurate information necessary for delivery.
6. Return of Goods
The Buyer has the right to return goods of proper quality within 14 days if they have not been used and their marketable condition has been preserved. Returns are at the Buyer's expense. Goods manufactured or modified by individual order are not subject to return. In case of detecting defects in the goods within the warranty period, the Buyer has the right to contact the Seller in accordance with the Law of Ukraine "On Consumer Rights Protection."
7. Liability of the Parties
The Seller is not responsible for damage caused by improper use of the goods. The parties are released from liability in case of force majeure — war, natural disasters, emergencies that make it impossible to fulfill obligations.
8. Confidentiality and Personal Data
By providing their personal data, the Buyer agrees to their processing and use in accordance with the Law of Ukraine "On Personal Data Protection." The Seller guarantees that the information received will not be transferred to third parties, except as provided by law or necessary for order fulfillment.
9. Other Terms
This agreement is concluded in accordance with the current legislation of Ukraine. All disputes are resolved through negotiations, and if an agreement is not reached, in court. The Seller has the right to change the terms of this agreement by publishing an updated version on the website.
